Welcome to Suprast. These Terms of Service ('Terms', 'Agreement') govern your access to and use of our website, software, and services provided by Suprast | Supra Software Technologies ('we', 'us', 'our'), a company registered in Tallinn, Estonia. By registering an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
These Terms constitute a legally binding agreement between you (whether an individual or representing an entity) and Suprast | Supra Software Technologies. If you do not agree to all of these terms, you are expressly prohibited from using our services and must discontinue use immediately. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.
To utilize specific features of the platform, you must register for an account. You agree to provide current, complete, and accurate registration information. You are solely responsible for maintaining the confidentiality of your account password and for any and all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate or violates third-party rights.
You may not access or use the platform for any purpose other than that for which we make the platform available. As a user, you agree not to: (a) Systematically retrieve data or other content to create a compiled database or directory without written permission. (b) Trick, defraud, or mislead us and other users. (c) Circumvent, disable, or otherwise interfere with security-related features of the platform. (d) Use the platform in a manner inconsistent with any applicable Estonian or international laws or regulations. (e) Upload or transmit viruses, Trojan horses, or other malicious material. (f) Attempt to reverse engineer, decompile, or disassemble any of the software comprising the platform.
The platform, including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the 'Company Content'), and the trademarks, service marks, and logos contained therein, are owned by or licensed to Suprast | Supra Software Technologies. They are protected by copyright and trademark laws of the Republic of Estonia and international intellectual property conventions. No part of the platform may be copied, reproduced, aggregated, republished, or distributed for commercial enterprise without our express prior written permission.
You retain all of your ownership rights in any content, data, or materials you upload, post, or transmit through our services ('User Content'). However, by uploading User Content, you grant Suprast | Supra Software Technologies a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and display that content solely for the purpose of providing the services to you.
If our services require payment, you agree to provide current, complete, and accurate purchase and account information for all purchases made via the platform. We bill you through an online billing account. In accordance with EU consumer protection laws, users residing in the EU may have a 14-day right of withdrawal. However, by expressly consenting to the immediate provision of digital content/services, you acknowledge that you waive this right of withdrawal upon the full performance of the service. All other refund requests are evaluated on a case-by-case basis at our sole discretion.
Our platform may contain links to third-party websites or services that are not owned or controlled by Suprast | Supra Software Technologies. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Suprast | Supra Software Technologies shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of such content, goods, or services.
The platform is provided on an 'AS IS' and 'AS AVAILABLE' basis. You agree that your use of the platform and our services will be at your sole risk. To the fullest extent permitted by law, Suprast | Supra Software Technologies disclaims all warranties, express or implied, in connection with the platform and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the platform's content.
In no event will Suprast | Supra Software Technologies, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the platform, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) use of the platform; (3) breach of these Terms; or (4) any breach of your representations and warranties set forth in these Terms.
We reserve the right, in our sole discretion, to terminate or suspend your account and your access to the services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the services or delete your account through the account settings.
These Terms and your use of the platform are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles. By using our services, you irrevocably consent that the courts of the Republic of Estonia, specifically the Harju County Court (Harju Maakohus) in Tallinn, shall have exclusive jurisdiction to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof.
